Terms of Use

Welcome to Seller Pad by Jumpspree ("Seller Pad", "we", "us", or "our"). These Terms of Use ("Terms") govern your access to and use of the Seller Pad mobile application, website, and related services (collectively, the "Platform"). By accessing, downloading, or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms in their entirety, you must not access or use the Platform.

1. ELIGIBILITY

You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction, whichever is older, to use the Platform. By using the Platform, you represent and warrant that:
a) All information you provide is accurate, complete, and current;
b) You are authorized to act on behalf of yourself or your business entity; and
c) Your use of the Platform does not violate any applicable laws or regulations.

2. ACCOUNT REGISTRATION AND RESPONSIBILITY

To use most features of the Platform, you must create an account. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to:

• Immediately notify us of any unauthorized use or suspected breach;




• Not impersonate any person or entity or use a false identity;




• Not transfer or sell your account access to any third party.

3. PLATFORM USAGE AND RESTRICTIONS

The Platform enables you to:

• Create and manage seller profiles and brand pages




• Post, repost, and manage product listings and social content (including text, links, GIFs, images, and videos);




• Maintain an inventory of products and manage order fulfillment, returns, and refunds;




• Connect with potential buyers through direct messaging;




• Process payments and receive secure payouts.

You agree not to:

• Sell counterfeit, illegal, stolen, or unauthorized goods;




• Upload content that is obscene, defamatory, or infringes on intellectual property rights;




• Manipulate pricing, ratings, or buyer interactions;




• Reverse engineer, hack, or otherwise disrupt the Platform.

4. INTELLECTUAL PROPERTY RIGHTS

All intellectual property rights in the Platform, including but not limited to software, design, graphics, text, and logos, are owned by or licensed to Jumpspree. You are granted a limited, revocable, non-transferable, non-exclusive license to access and use the Platform solely for your legitimate business purposes as a seller.

Content you submit remains yours, but by uploading or posting content, you grant us a worldwide, royalty-free, sublicensable license to use, reproduce, distribute, display, and adapt such content for the purpose of operating and promoting the Platform.

5. RESELLER AUTHORIZATION

If you list branded items described as new, you represent and warrant that you are an authorized reseller and have obtained all necessary licenses, rights, or permissions. Upon request, you agree to promptly provide documentation evidencing your reseller authorization. Failure to provide proof may result in removal of listings or suspension of your account.

6. FEES AND PAYMENTS

Certain features may be subject to service fees. Payments are processed via integrated third-party payment gateways. You agree to:

• Comply with the terms of any such third-party payment processor;




• Ensure your payment and bank account information is accurate;




• Be responsible for any applicable transaction or service fees;




• Accept the timing and method of payouts as defined by the Platform.

7. TERMINATION AND SUSPENSION

We reserve the right to suspend or terminate your account or access to the Platform at our sole discretion, with or without notice, for any reason, including but not limited to:

• Violation of these Terms;




• Suspicious, fraudulent, or abusive activity;




• Requests by law enforcement.

You may terminate your account at any time. Upon termination, your access to the Platform will cease, but certain provisions of these Terms will survive, including ownership rights, disclaimers, and limitations of liability.

8. DISCLAIMERS AND LIMITATION OF LIABILITY

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including:

• That the Platform will be uninterrupted, secure, or error-free;




• That listings or content are accurate, complete, or reliable;




• That any buyer or seller will perform their obligations.

In no event shall Jumpspree or its affiliates be liable for indirect, incidental, punitive, or consequential damages, or for loss of profits, revenue, or data.

9. MODIFICATIONS TO TERMS

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms within the app or via email. Continued use after such updates constitutes your consent to the revised Terms.

10. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Nassau County, New York.
